1. Acceptance of Terms

Welcome to Outpass! These Terms of Service ("Terms") constitute a legally binding agreement between you and Outpass/HikePass ("we," "us," or "our") regarding your use of the Outpass mobile application ("App") and related services (collectively, the "Services").

By creating an account, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

2. Description of Services

Outpass is a mobile platform that connects adventure enthusiasts ("Adventurers") with outdoor adventure trips, agencies, and guides. Our Services include:

  • Adventure Discovery: Browse and search for outdoor adventures and trips
  • Trip Booking: Book and manage adventure trips
  • Profile Management: Create and maintain your adventurer profile, including experience level and health information
  • Community Features: Connect with other adventurers, share reviews, and build your bucket list
  • Trip Management: Access itineraries, documents, gear lists, and training materials
  • Communication: Receive notifications and updates about your trips
  • Content Sharing: Share photos and experiences from your adventures

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years old.

For users under 18 but over the age of 13 (or 16 in the EU), a parent or legal guardian must supervise your use and agree to these Terms on your behalf.

3.2 Account Registration

To access certain features, you must create an account by providing:

  • Name
  • Email address
  • Date of birth
  • Phone number
  • Other required information

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities under your account

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from unauthorized use of your account.

4. User Conduct and Responsibilities

4.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload or transmit viruses, malware, or harmful code
  • Harass, abuse, threaten, or harm other users
  • Impersonate any person or entity
  • Engage in fraudulent activities or misrepresentation
  • Scrape, harvest, or collect user data without permission
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for commercial purposes without our permission
  • Post false, misleading, or defamatory content

4.2 Health and Safety Information

You acknowledge and agree that:

  • You are responsible for providing accurate health and medical information
  • False or incomplete health information may endanger yourself and others
  • Adventure activities carry inherent risks
  • You must assess your own fitness and suitability for activities
  • You should consult with medical professionals before engaging in strenuous activities

4.3 User-Generated Content

You are solely responsible for any content you upload, post, or share through the Services, including:

  • Photos and images
  • Reviews and ratings
  • Profile information
  • Comments and messages

You represent and warrant that:

  • You own or have the right to use all content you submit
  • Your content does not violate any third-party rights
  • Your content does not violate these Terms or applicable laws

5. License and Intellectual Property

5.1 Our License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms.

5.2 Your License to Us

By uploading or sharing content through the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing and promoting the Services.

This license continues even if you stop using the Services, but only for content you have shared publicly (such as reviews).

5.3 Our Intellectual Property

The App, including all content, features, functionality, designs, logos, trademarks, and trade names, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove or alter any copyright or proprietary notices
  • Use our trademarks without prior written consent

6. Trip Bookings and Payments

6.1 Booking Process

When you book an adventure through the App:

  • You are entering into a contract with the adventure agency, not with Outpass
  • We facilitate the booking but are not a party to the transaction
  • Specific terms and conditions of the agency apply

6.2 Payments

  • Payment processing is handled by the adventure agency or third-party payment processors
  • We do not store your payment card information
  • All payment transactions are subject to the policies of the payment processor
  • You are responsible for all charges incurred under your account

6.3 Cancellations and Refunds

  • Cancellation and refund policies are determined by the adventure agency
  • We are not responsible for processing refunds
  • Contact the agency directly for cancellation requests
  • Review the agency's cancellation policy before booking

6.4 Pricing and Availability

  • Prices are set by adventure agencies and may change without notice
  • We do not guarantee the accuracy of pricing information
  • Availability is subject to change
  • We are not liable for pricing errors or unavailable trips

7. Third-Party Services and Links

The App may contain links to third-party websites, services, or content that are not owned or controlled by us.

We have no control over and assume no responsibility for:

  • The content, privacy policies, or practices of third parties
  • Third-party websites or services
  • Adventure agencies, guides, or their services
  • Third-party payment processors

Your interactions with third parties are solely between you and the third party. We encourage you to review their terms and policies.

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy at https://outpass.app/privacy, which explains how we collect, use, and protect your information.

By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that the Services will be uninterrupted, secure, or error-free
  • Warranties regarding the quality or safety of adventures or third-party services

9.2 Assumption of Risk

You acknowledge and agree that:

  • Outdoor adventure activities are inherently dangerous and carry risk of injury or death
  • You voluntarily assume all risks associated with adventure activities
  • You are responsible for assessing your own fitness and suitability
  • We do not verify the qualifications, safety practices, or compliance of agencies or guides
  • We are not liable for any injuries, damages, or losses occurring during adventures

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

9.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Outpass, HikePass, and our officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your user-generated content
  • Your participation in adventure activities
  • Any false or misleading information you provide

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Using the in-app account deletion feature
  • Emailing us at support@outpass.app

11.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse or harassment of other users
  • Any conduct we deem harmful to the Services or other users
  • Any reason or no reason

11.3 Effect of Termination

Upon termination:

  • Your right to use the Services ceases immediately
  • We may delete your account and data (subject to our Privacy Policy)
  • You remain liable for any outstanding obligations
  • Provisions that should survive termination will continue to apply

Surviving provisions include: licenses you granted to us, disclaimers, limitations of liability, indemnification, governing law and jurisdiction, and general provisions.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, please contact us at legal@outpass.app to attempt to resolve the issue informally. Most disputes can be resolved this way.

12.2 Jurisdiction and Venue

If informal resolution fails, any disputes arising from these Terms or the Services shall be resolved in the courts of Uruguay. You agree to submit to the personal jurisdiction of the courts located in Canelones, Uruguay for the purpose of litigating all such disputes.

However, we acknowledge that users in different jurisdictions may have the right to bring claims in their local courts as provided by applicable consumer protection laws.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uruguay, without regard to its conflict of law provisions.

12.4 Consumer Rights

Nothing in these Terms limits any mandatory consumer protection rights you may have under the laws of your jurisdiction. If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms in the App
  • Updating the "Last Updated" date
  • Sending you a notification (email or push notification)
  • Requiring you to accept the new Terms

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and delete your account.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Outpass regarding the Services and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

14.5 Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.

14.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.

14.7 Export Control

You agree to comply with all applicable export and import control laws and regulations.

14.8 Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflict, the English version prevails.
